Financial Viability

Conservative pro forma assumptions (no hockey stick BS)

Underwriting must match operator history, not “aspirations”

Market comps checked (e.g. rent, cap rate, oil output, etc.)

Legal & Tax Structure

Must be K-1 friendly

Clear GP/LP structure or shareholder rights

Must include optionality for 1031, IRA use, or depreciation visibility

Operator Criteria

≥5 years in industry OR ≥3 full-exit projects

Skin in the game (min 5%+ GP capital)

Responsive to due diligence questions

  • Can’t survive a 25% haircut to projections

  • Doesn’t offer direct access to operators or decision-makers

  • Has unaligned risk between GP/LP
